Nomadvice Terms of Use

Introduction

These Terms of Use (the "Terms") are a legal agreement between you and Nomadvice LLC, a company organized and existing under the laws of Georgia (referred to as "Nomadvice," "we," "us," or "our"), and govern your access to and use of the Nomadvice Services, as defined below.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE TELEGRAM BOT @nomadvicebot, THE WEBSITE NOMADVICE.COM, OR ANY OTHER APPLICATION, BOT, OR SERVICE OPERATED BY NOMADVICE (TOGETHER, THE "SERVICES"), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.

These Terms include, in Section 13, important limitations on our liability to you, and in Section 14, your obligation to indemnify us. Please read these sections carefully.

1. What Nomadvice Is — and Is Not

1.1. Nomadvice operates an AI-assisted specialist-matching service, currently delivered primarily through the Telegram bot @nomadvicebot (and, in the future, potentially through additional applications, bots, or platforms we may launch under the Nomadvice brand). You describe a situation or need in your own words (for example, that you need a doctor, lawyer, repair technician, or other specialist while living, working, or traveling abroad). Our automated system, which we refer to internally as "Scout AI," uses artificial intelligence and machine learning models — including models operated by third-party AI infrastructure providers — to analyze your request and to search, aggregate, and evaluate information from publicly available third-party sources on the internet, such as, without limitation, online maps, business directories, social media platforms, and review websites, in order to generate a report (a "Decision Report") that may include a recommended specialist or option, alternative or backup options, points to be aware of ("red flags"), suggested questions to ask, and a suggested message you may choose to send to a provider.

1.2. Nomadvice is a discovery and decision-support tool. It is not, and must not be treated as, professional advice of any kind. Nomadvice is not a medical provider, law firm, financial advisor, insurance broker, or any other type of licensed professional service provider, and nothing generated by the Services constitutes medical, legal, financial, tax, immigration, psychological, or any other professional advice, diagnosis, or recommendation on which you should rely without independent verification and your own judgment.

1.3. Nomadvice does not employ, engage, supervise, certify, license, background-check, verify the credentials of, insure, or otherwise vouch for any specialist, business, or provider referenced in a Decision Report or elsewhere in the Services (each, a "Provider"). Any Provider identified through the Services is an independent third party with no affiliation to, employment relationship with, agency relationship with, or partnership with Nomadvice, unless expressly and separately stated otherwise in writing. Any engagement, appointment, contract, purchase, or transaction you enter into with a Provider is solely between you and that Provider, at your own risk.

1.4. THE SERVICES ARE NOT DESIGNED, INTENDED, OR SUITABLE FOR MEDICAL, MENTAL HEALTH, SAFETY, OR OTHER EMERGENCIES. IF YOU ARE EXPERIENCING AN EMERGENCY OR BELIEVE YOU OR ANOTHER PERSON MAY BE AT RISK OF HARM, DO NOT USE THE SERVICES — CONTACT YOUR LOCAL EMERGENCY SERVICES (e.g., 112, 911, or the applicable local emergency number) OR THE NEAREST HOSPITAL OR AUTHORITY IMMEDIATELY.

1.5. For more detail on how we limit our liability and what you agree to bear responsibility for, see Section 13 (Disclaimers) and Section 14 (Limitation of Liability and Indemnification).

1.6. YOU ARE INTERACTING WITH AN AUTOMATED, AI-BASED SYSTEM, NOT A HUMAN BEING. From your first interaction with @nomadvicebot (and any other bot or interface we operate), we will disclose to you, in a clear and easily accessible way, that you are communicating with an artificial intelligence system and that Decision Reports and other outputs are generated with the assistance of AI. This disclosure is provided, among other reasons, to comply with applicable AI transparency laws, including Article 50 of the EU Artificial Intelligence Act.

2. These Terms and Our Other Policies

2.1. These Terms, together with our Privacy Policy and any other documents we tell you form part of them (collectively, these "Terms"), govern your use of the Services.

2.2. Our Privacy Policy explains what personal data we collect, why, and how you can exercise your rights over it. You should read it alongside these Terms.

2.3. Where we operate the website nomadvice.com, our Cookie Policy (available on the website) explains our use of cookies and similar technologies on that website.

3. Eligibility

3.1. By using the Services, you represent and warrant that: (a) you are at least 18 years old, or the age of legal majority in your jurisdiction of residence if higher; (b) you have the legal capacity to enter into a binding agreement with Nomadvice; and (c) your use of the Services complies with all laws and regulations applicable to you.

3.2. The Services are not directed at, and must not be used by, individuals under 18. If we learn that we have collected information from someone under 18, we will take reasonable steps to delete that information and terminate the associated access, as further described in our Privacy Policy.

3.3. You may not use the Services if you are located in, or a resident of, a country or region subject to a comprehensive trade embargo under the laws applicable to Nomadvice, or if you are listed on any applicable restricted-party, sanctions, or denied-persons list. You represent that you are not subject to any such restriction.

4. Changes to These Terms

4.1. We may revise these Terms from time to time, at our discretion, including to reflect changes to the Services, legal or regulatory requirements, or our business. We will post the updated Terms and revise the "Effective date" above. Where changes are material, we will make reasonable efforts to notify you, for example through the bot, by email, or by a notice on our website.

4.2. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree with the revised Terms, you must stop using the Services.

5. Your Account and Interactions With the Bot

5.1. To use the Telegram bot, you interact with it through your existing Telegram account. Your access to the bot is linked to your Telegram identifier. Nomadvice does not operate the Telegram platform, and your use of Telegram itself, separately from the Nomadvice bot, is governed by Telegram's own terms and privacy policy, over which we have no control. We operate the bot in accordance with Telegram's Bot Platform Developer Terms of Service, including by limiting our collection of data through the bot to what is reasonably necessary to operate the Services.

5.2. You are solely responsible for maintaining the security of your Telegram account and device, and for all activity that occurs through your Telegram account in connection with the Services, whether or not authorized by you, except to the extent caused by our gross negligence or willful misconduct.

5.3. If we launch a website account, mobile application, or other means of accessing the Services in the future, additional or updated provisions regarding account creation and security may apply, and we will update these Terms accordingly.

5.4. We may request that you provide certain information (such as an email address, your general location, or details about your situation) so that we can deliver the Services, follow up with you, or send you additional information. You agree to provide accurate information and to update it as necessary.

5.5. We reserve the right, at our sole discretion, to suspend, restrict, or terminate your access to the Services at any time, including if we believe you have violated these Terms, engaged in fraudulent or abusive conduct, or if required to do so by law.

6. Your Requests and the Decision Reports We Generate

6.1. When you submit a request through the Services (a "Request"), you are asking Nomadvice to use AI-assisted research to attempt to identify and evaluate potentially suitable Providers based on the information you provide and information available from third-party sources at the time of your Request.

6.2. You are solely responsible for the accuracy, completeness, and legality of any information you submit in a Request, including any information about yourself or third parties. Do not submit health, legal, financial, or other sensitive information about another person without their knowledge and consent. Do not submit information that is unlawful, defamatory, infringing, or that you do not have the right to share.

6.3. A Decision Report reflects the output of automated processing, informed by publicly available third-party information that we do not control, verify, or guarantee. Decision Reports, and any Provider identified in them, may be incomplete, outdated, inaccurate, or unsuitable for your specific circumstances. You must independently verify any information in a Decision Report — including a Provider's identity, qualifications, licensing, pricing, availability, and reviews — before relying on it or engaging any Provider.

6.4. We do not guarantee that a Decision Report will identify any suitable Provider, that any recommended Provider will be available, willing, or able to assist you, or that engaging a recommended Provider will produce any particular outcome.

6.5. We may, but are not obligated to, retain and use the content of your Requests (in identifiable or de-identified/aggregated form) to provide, maintain, and improve the Services, including to train, fine-tune, or evaluate the performance of AI systems used in connection with the Services, as further described in our Privacy Policy.

7. Subscriptions, Credits, and Payments

7.1. Certain features of the Services are offered on a paid, subscription basis, using an internal credit system as described on our website and within the Services from time to time ("Credits"). Each search or Request may consume a fixed or variable number of Credits, as disclosed to you at the relevant time. We may offer a limited free trial or free first search at our discretion, which we may modify or discontinue at any time.

7.2. Subscription plans, pricing, Credit allowances, rollover terms, and top-up packages are as described on our website or within the Services at the time of your purchase, and may change from time to time. We will provide reasonable notice of price changes affecting an active subscription before they take effect for your next billing cycle.

7.3. Subscriptions renew automatically for successive periods matching your selected billing cycle (e.g., monthly or annually) unless you cancel before the renewal date. You may cancel at any time through the mechanism we make available; cancellation takes effect at the end of the then-current billing period, and you will not be charged for subsequent periods.

7.4. Payments are processed by a third-party payment processor (currently FastSpring, or such other payment processor as we may use from time to time), which acts as the merchant of record and handles payment collection, applicable taxes, and related compliance. Your payment information is provided directly to, and held by, our payment processor, subject to its own terms and privacy policy; Nomadvice does not receive or store your full payment card details.

7.5. Except where required by applicable law, all payments, subscription fees, and Credit purchases are non-refundable, including for unused Credits, partial billing periods, or Credits that expire or are forfeited under the applicable rollover or expiration rules disclosed to you. We may, at our sole discretion, issue refunds or credits on a case-by-case basis; doing so does not obligate us to do so in other cases.

7.6. You are responsible for any taxes associated with your purchase, other than taxes on our net income, to the extent not already collected by our payment processor.

7.7. We may suspend or limit your access to paid features if a payment fails, is reversed, or is disputed, until the matter is resolved.

7.8. Right of withdrawal for consumers in the EU, UK, and EEA. If you are a consumer located in the European Union, the United Kingdom, or the European Economic Area, you may ordinarily have the right to withdraw from a distance contract within 14 days without giving any reason. However, because a Request begins generating a Decision Report immediately upon purchase or use of Credits — meaning performance starts before the 14-day period would end — by placing an order, purchasing a subscription, or using Credits to submit a Request, you expressly request that we begin performance immediately, and you acknowledge that you will lose your right of withdrawal once we have fully performed the service (that is, once a Decision Report has been delivered to you) or, where performance is ongoing, in proportion to the service already provided. We will seek your explicit confirmation of this acknowledgment at the relevant point in the purchase or Request flow. Nothing in this Section 7.8 affects any other mandatory right you may have as a consumer under the law of your country of residence.

8. Acceptable Use

8.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not, and must not attempt to:

  • use the Services in any way that breaches any applicable law or regulation, or that is fraudulent or has an unlawful purpose or effect;

  • submit any Request or content that is unlawful, harassing, hateful, discriminatory, sexually explicit involving minors, threatening, defamatory, or that infringes any third party's intellectual property, privacy, or other rights;

  • use the Services to stalk, surveil, harass, or gather information about another individual without their knowledge or consent, or for any purpose that could endanger or harm any person;

  • attempt to manipulate, "jailbreak," or bypass the intended operation, safety features, or limitations of Scout AI or any underlying AI model, including through prompt injection or similar techniques;

  • use automated means (bots, scripts, scrapers) to access, query, or extract data from the Services at scale, other than through the intended Telegram bot interface as a natural person;

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, prompts, or algorithms used by the Services, except to the extent such restriction is prohibited by applicable law;

  • resell, sublicense, or provide access to the Services to third parties without our prior written consent;

  • interfere with or disrupt the integrity or performance of the Services, including by transmitting viruses, malware, or other harmful code, or by attempting to gain unauthorized access to our systems;

  • misrepresent your identity or affiliation, or impersonate any person or entity, including any Provider.

8.2. We reserve the right to investigate suspected violations of this Section and to take any action we deem appropriate, including removing content, suspending or terminating access, and reporting conduct to law enforcement where we believe it may be unlawful.

9. Intellectual Property

9.1. Nomadvice and its licensors own all right, title, and interest in and to the Services, including the Nomadvice name and logo, the Scout AI technology, the structure and format of Decision Reports, and all related software, technology, and content we provide (excluding your Request content and any third-party content), and all associated intellectual property rights (collectively, "Nomadvice Content"). Except for the limited rights expressly granted to you in these Terms, no rights or licenses are granted to you by implication or otherwise.

9.2. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services and Nomadvice Content for your own personal, non-commercial use (or, where we have separately agreed to provide the Services to you for business purposes, for your internal business use).

9.3. As between you and Nomadvice, you retain ownership of the content of your Requests. By submitting a Request, you grant Nomadvice a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, and analyze that content (including in de-identified or aggregated form) to provide, operate, maintain, and improve the Services, including the underlying AI systems, as described in our Privacy Policy.

9.4. Nomadvice, the Nomadvice logo, "Scout AI," and other names, logos, and marks used in connection with the Services are trademarks of Nomadvice or its licensors. You may not use them without our prior written consent.

10. Third-Party Content, Sources, and Platforms

10.1. In generating Decision Reports, Scout AI may reference, summarize, or link to information originating from third-party websites, platforms, and services (for example, online maps, business directories, social media platforms, and review sites) that we do not own, operate, or control.

10.2. We do not review, verify, endorse, or guarantee the accuracy, completeness, timeliness, or reliability of any third-party content, and we are not responsible for the availability, content, policies, or practices of any third-party website, platform, or service. Your use of any third-party website, platform, or service is at your own risk and subject to that third party's own terms and privacy policy.

10.3. Where the Services operate on or through a third-party platform such as Telegram, your use of that platform is also subject to that platform's own terms of service, and we are not responsible for that platform's availability, features, security, or changes to its policies.

11. Right to Terminate

11.1. You may stop using the Services at any time. Where an account or subscription mechanism exists, you may close it or cancel your subscription following the process we make available.

11.2. We may suspend or terminate your access to the Services, in whole or in part, at any time and at our sole discretion, with or without notice, including where we believe you have violated these Terms, where required by law, or where we discontinue the Services or a feature of them. Sections of these Terms that by their nature should survive termination (including Sections 9, 13, 14, 18, and 19) will survive.

11.3. Termination of your access does not entitle you to a refund of any fees or unused Credits, except as required by applicable law or as we otherwise determine at our discretion.

12. Availability of the Services

12.1. We aim to keep the Services available, but we do not guarantee uninterrupted, timely, secure, or error-free operation. We may suspend, restrict, or discontinue all or part of the Services (including specific features, plans, or the Services as a whole) at any time, for maintenance, security, business, or other reasons, with or without notice, and without liability to you for doing so, except as required by applicable law.

12.2. The Services depend in part on third-party infrastructure (including Telegram, cloud hosting providers, and AI infrastructure providers) that we do not control. We are not responsible for outages, errors, or limitations caused by such third-party infrastructure.

13. Disclaimers

13.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, INCLUDING ALL DECISION REPORTS, RECOMMENDATIONS, AND OTHER CONTENT GENERATED OR PROVIDED THROUGH THE SERVICES, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

13.2. WE DO NOT WARRANT AND EXPRESSLY DISCLAIM ANY REPRESENTATION THAT: (A) ANY DECISION REPORT, RECOMMENDATION, OR OTHER OUTPUT OF THE SERVICES IS ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSE; (B) ANY PROVIDER IDENTIFIED THROUGH THE SERVICES IS QUALIFIED, LICENSED, COMPETENT, TRUSTWORTHY, OR SAFE; OR (C) YOUR USE OF THE SERVICES OR ANY ENGAGEMENT WITH A PROVIDER WILL MEET YOUR EXPECTATIONS OR RESULT IN ANY PARTICULAR OUTCOME.

13.3. AI SYSTEMS, INCLUDING THOSE USED BY SCOUT AI, CAN PRODUCE INCORRECT, INCOMPLETE, OUTDATED, OR MISLEADING OUTPUTS ("HALLUCINATIONS") AND CAN REFLECT BIASES PRESENT IN THEIR TRAINING DATA OR SOURCE MATERIAL. YOU ACKNOWLEDGE THIS LIMITATION AND AGREE THAT YOU WILL EXERCISE YOUR OWN INDEPENDENT JUDGMENT, AND WILL NOT RELY SOLELY ON THE SERVICES, WHEN MAKING ANY DECISION — PARTICULARLY DECISIONS RELATING TO YOUR HEALTH, SAFETY, LEGAL RIGHTS, OR FINANCES.

13.4. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISION YOU MAKE, ANY ACTION YOU TAKE, AND ANY AGREEMENT YOU ENTER INTO WITH ANY PROVIDER OR OTHER THIRD PARTY BASED, IN WHOLE OR IN PART, ON INFORMATION OBTAINED THROUGH THE SERVICES.

13.5. Nothing in these Terms excludes or limits any warranty, right, or liability that cannot lawfully be excluded or limited under the mandatory law applicable to you as a consumer.

14. Limitation of Liability and Indemnification

14.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOMADVICE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, ANY DECISION REPORT, OR ANY PROVIDER, REGARDLESS OF THE LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOMADVICE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO NOMADVICE FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (USD 50).

14.3. WITHOUT LIMITING THE FOREGOING, NOMADVICE IS NOT LIABLE FOR: (A) ANY ACT, OMISSION, SERVICE, PRODUCT, ADVICE, OR CONDUCT OF ANY PROVIDER OR OTHER THIRD PARTY, INCLUDING ANY HEALTH, LEGAL, FINANCIAL, OR OTHER OUTCOME RESULTING FROM YOUR ENGAGEMENT WITH A PROVIDER; (B) THE ACCURACY OR AVAILABILITY OF ANY THIRD-PARTY CONTENT OR PLATFORM, INCLUDING TELEGRAM; (C) ANY DECISION, ACTION, OR OMISSION BY YOU IN RELIANCE ON A DECISION REPORT OR OTHER OUTPUT OF THE SERVICES; OR (D) EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING AS DESCRIBED IN SECTION 19 (FORCE MAJEURE).

14.4. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Nomadvice and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any Request or other content you submit; (e) your interaction, engagement, or dispute with any Provider or other User; or (f) your violation of any rights of a third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

14.5. Nothing in this Section limits any liability that cannot lawfully be limited or excluded under mandatory consumer protection law applicable to you.

15. International Use

15.1. The Services are, or may become, accessible from many countries. We make no representation that the Services are appropriate, legal, or available in every location. If you access the Services from outside the countries in which we primarily operate, you do so on your own initiative and are responsible for compliance with local laws applicable to you.

15.2. Regulatory requirements for AI-based recommendation tools, and for services touching on health, legal, or financial topics, vary significantly between countries and continue to evolve. We make reasonable efforts to operate responsibly, but we do not represent that the Services comply with the specific regulatory regime of every jurisdiction from which they may be accessed.

16. Future Products and Business Users

16.1. We may in the future offer additional products or services, including a mobile application, a business- or enterprise-oriented version of our technology, or an API, which may be governed by separate or supplemental terms. Where you use such a product or service, those supplemental terms will apply in addition to, or (to the extent of any conflict, as stated in those terms) instead of, the relevant provisions of these Terms.

16.2. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" will refer to that organization as well as to you individually.

17. Force Majeure

17.1. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, failures of third-party infrastructure or service providers (including Telegram or AI infrastructure providers), governmental action, or pandemic.

18. Governing Law and Disputes

18.1. These Terms, and any dispute arising out of or relating to them or to the Services, are governed by the laws of Georgia, without regard to its conflict-of-laws principles, and, except as set out below, will be subject to the exclusive jurisdiction of the courts of Georgia.

18.2. If you are a consumer resident in a country whose law grants you mandatory rights that these Terms cannot override (for example, the right to bring proceedings in the courts of your own country of residence, or the application of certain consumer-protection provisions), nothing in this Section 18 deprives you of the protection of those mandatory provisions, and this Section 18 applies to the fullest extent otherwise permitted.

19. General

19.1. Entire agreement. These Terms, together with our Privacy Policy and any other documents referenced in them, constitute the entire agreement between you and Nomadvice regarding the Services and supersede any prior agreements.

19.2. Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.3. No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

19.4. Assignment. We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms without our prior written consent.

19.5. No third-party beneficiaries. These Terms are between you and Nomadvice and do not confer any rights on any third party, except as expressly stated.

19.6. Language. These Terms may be made available in languages other than English, including Russian, for your convenience. In the event of any conflict, discrepancy, or ambiguity between the English version and a translated version, the English version prevails.

20. Who We Are and How to Contact Us

20.1. The Services are operated by Nomadvice LLC, a limited liability company organized under the laws of Georgia. This information is provided so that you can identify us as required by applicable e-commerce and consumer protection laws in the countries from which the Services may be accessed.

20.2. If you have questions, concerns, or complaints about these Terms or the Services, please contact us at privacy@nomadvice.com. We will acknowledge and aim to resolve consumer complaints within the timeframe required by applicable law.
